Indemnification

Termination

Disputes Resolution

If you have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at support@ourvaluesare.org. You must allow the Company at least 30 days to respond to and address Your concerns before initiating any formal legal proceeding.

If informal resolution is unsuccessful, You agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration rather than in courts of general jurisdiction. The arbitration shall be conducted in San Francisco, California, in accordance with the rules of the American Arbitration Association then in effect. The prevailing party in any arbitration shall be entitled to recover reasonable attorneys' fees and costs. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

You agree that any arbitration shall be conducted on an individual basis and not in a class, consolidated, or representative action. Any claim must be brought in Your individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, multiple plaintiff, or similar proceeding.

Force Majeure

The Company shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond the Company's reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation, pandemics, acts of God, acts of terrorism, natural disasters, strikes, or governmental or regulatory actions.

Assignment

You may not assign or transfer these Terms or Your rights and licenses granted hereunder, but the Company may assign or transfer these Terms without restriction or notification. Any attempted assignment by You shall be null and void.

Entire Agreement

These Terms and Conditions, together with the Privacy Policy, constitute the entire agreement between You and the Company regarding Your use of the Service and the Image, and supersede all prior written or oral agreements, understandings, communications, or proposals between You and the Company.

For European Union (EU) Users

This Service and the "Our Values Are" image are primarily intended for use by individuals and businesses located in the United States. While we do not actively prevent access from other regions, including the European Union, we do not specifically target or market our Service to individuals or businesses in those regions. If you are accessing our Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws.

United States Legal Compliance

You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.
